By accessing or using DigiSales services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
1. DEFINITIONS
"Company," "We," "Us," "Our": LEVELUP ENTERPRISES INC., operating as DigiSales.
"Customer," "You," "Your": The individual or entity purchasing digital products from DigiSales.
"Digital Products": Digital gift cards, game codes, prepaid cards, vouchers, and other digital goods sold through our platform, including but not limited to iTunes, Xbox, Apple, Roblox, PlayStation, Nintendo, Google Play, and similar products.
"Vendor": The original issuer or provider of the Digital Product (e.g., Apple Inc., Microsoft Corporation, Roblox Corporation).
"Services": All products, services, and features offered through the DigiSales platform.
2. ELIGIBILITY AND ACCOUNT REQUIREMENTS
2.1. Age Requirement: You must be at least 18 years of age to purchase from DigiSales. If you are under 18, a parent or legal guardian must complete the purchase on your behalf and accept these Terms.
2.2. Account Registration: You may be required to create an account to access certain Services. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information promptly
- Safeguard your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
2.3. Account Security: You are solely responsible for maintaining the confidentiality of your account. Any activity occurring under your account will be deemed authorized by you.
3. DIGITAL PRODUCTS - GENERAL TERMS
3.1. Third-Party Products: All Digital Products are issued by third-party Vendors. Your use of these products is subject to both these Terms and the Vendor's own terms and conditions, including expiration dates, regional restrictions, and usage limitations.
3.2. Customer Responsibility: You are responsible for:
- Reviewing Vendor terms before purchase
- Ensuring product compatibility with your region, platform, and account
- Verifying product specifications (currency, denomination, region)
- Providing accurate information during purchase
3.3. Product Delivery: Digital Products are typically delivered within 30 seconds to 5 minutes via email or account dashboard. Delivery times may vary based on Vendor processing.
3.4. Code Security: Treat all codes like cash. Once delivered, you assume all risk of loss, theft, or misuse. We are not responsible for codes that are lost, stolen, shared, or misused after delivery.
4. NO REFUNDS - ALL SALES FINAL
4.1. FINAL SALE POLICY: All purchases of Digital Products are FINAL, NON-REFUNDABLE, NON-EXCHANGEABLE, and NON-TRANSFERABLE unless required by applicable Canadian law or as specified in our Refund Policy.
4.2. No Refunds After Delivery: Once a Digital Product code is delivered to you electronically, the sale is considered complete and cannot be reversed.
4.3. Customer Error: We are NOT responsible for refunds due to:
- Incorrect product selection (wrong region, currency, platform, or denomination)
- Failure to verify Vendor requirements before purchase
- Account-related issues (wrong account, banned account, incompatible account)
- Buyer's remorse or change of mind
- Inability to use the product for any reason
5. LIMITED EXCEPTIONS - DEFECTIVE CODES ONLY
5.1. Defective Code Definition: A code is considered defective ONLY if:
- The code is invalid when first used
- The code was already redeemed before delivery to you
- The code cannot be redeemed due to a Vendor system error (verified by Vendor)
5.2. Exception Reporting Requirements: To report a potentially defective code, you MUST:
- Contact us within 7 days of purchase
- Provide your order number and receipt
- Provide the complete, unredacted code
- Provide screenshots of the redemption error message
- Provide proof the code has NOT been redeemed (Vendor confirmation may be required)
- Allow us to verify the code status with the Vendor
5.3. Investigation Process: We will investigate all defective code claims. Resolution may take 7-30 business days depending on Vendor response time. We reserve the right to verify all claims with the Vendor before issuing any replacement or credit.
5.4. Resolution Options: If we determine a code is legitimately defective and unused, we may, at our sole discretion:
- Replace the code with an equivalent product
- Issue store credit
- Issue a refund to your original payment method (only in cases of confirmed vendor error)
6. FRAUD PREVENTION AND PROHIBITED USE
6.1. Legitimate Use Only: All Digital Products are for personal, non-commercial use only. You may NOT:
- Resell or distribute codes purchased from DigiSales
- Use codes for any commercial purpose without our written consent
- Share codes outside of Canada
- Use codes on accounts not registered in Canada (unless product specifies otherwise)
- Engage in arbitrage, grey market activities, or unauthorized resale
6.2. Canadian Accounts Only: Unless otherwise specified, all codes sold are intended for use on Canadian accounts. We cannot provide support for codes used on accounts registered outside Canada.
6.3. Fraud and Chargebacks: We employ strict fraud detection. We reserve the right to:
- Refuse or cancel any order suspected of fraud
- Report fraudulent activity to authorities
- Pursue legal action for fraudulent chargebacks
- Ban customers who engage in friendly fraud or abuse
6.4. Chargeback Policy: Initiating a chargeback for a properly delivered Digital Product constitutes fraud. You agree to work with us directly to resolve any disputes before filing a chargeback. Fraudulent chargebacks will result in:
- Immediate account termination
- Reporting to credit bureaus and authorities
- Legal action to recover losses, including chargeback fees and legal costs
- Permanent ban from future purchases
7. PAYMENT TERMS
7.1. Accepted Payment Methods: We accept credit cards, debit cards, PayPal, and other payment methods as displayed at checkout.
7.2. Payment Authorization: By submitting payment, you represent that:
- You are authorized to use the payment method
- All payment information is accurate and current
- You authorize us to charge the full purchase amount
7.3. Pricing: All prices are in Canadian Dollars (CAD) unless otherwise specified. Prices are subject to change without notice. You will be charged the price displayed at the time of your order.
7.4. Taxes: Applicable taxes (HST, GST, PST) will be added where required by law.
7.5. Order Cancellation: We reserve the right to refuse, limit, or cancel any order for any reason, including suspected fraud, pricing errors, or product unavailability.
8. VENDOR LIABILITY DISCLAIMER
8.1. Vendor Responsibility: As a reseller of Digital Products, LEVELUP ENTERPRISES INC. is NOT the issuer and is NOT responsible for:
- Product functionality, quality, or performance
- Vendor policy changes, terms updates, or service modifications
- Vendor account issues (bans, suspensions, restrictions)
- Vendor outages or technical problems
- Changes to Vendor redemption processes
- Product expiration dates or restrictions imposed by Vendors
8.2. Direct Vendor Remedy: For issues related to product quality, functionality, or Vendor services, you must seek resolution directly from the Vendor.
8.3. No Warranty: We make NO WARRANTIES, express or implied, regarding:
- Merchantability or fitness for a particular purpose
- Product compatibility with your systems
- Continuous availability of products
- Error-free operation of Vendor services
9. LIMITATION OF LIABILITY
9.1. Maximum Liability: To the fullest extent permitted by law, LEVELUP ENTERPRISES INC.'s total liability for any claim arising from your purchase shall NOT exceed the amount you paid for the specific Digital Product in question.
9.2. No Consequential Damages: We are NOT liable for any indirect, incidental, special, consequential, or punitive damages, including:
- Lost profits or revenue
- Loss of data or access
- Business interruption
- Emotional distress
- Vendor account issues or bans
9.3. Customer Acknowledgment: You acknowledge that Digital Products involve inherent risks including Vendor policy changes, account restrictions, and technical issues beyond our control.
10. PRIVACY AND DATA PROTECTION
10.1. Information Collection: We collect personal information necessary to process orders, prevent fraud, and provide customer support.
10.2. Information Use: Your information may be used for:
- Order processing and delivery
- Fraud prevention and security
- Customer support
- Marketing communications (opt-out available)
- Legal compliance
10.3. Information Sharing: We may share your information with:
- Payment processors
- Fraud prevention services
- Vendors (as necessary to resolve issues)
- Law enforcement (when legally required)
10.4. Data Security: While we implement reasonable security measures, we cannot guarantee absolute security of your information.
11. PROMOTIONAL CONTENT AND COMMUNICATIONS
11.1. Marketing Consent: By using our Services, you consent to receive promotional emails, newsletters, and special offers. You may opt out at any time.
11.2. SMS/WhatsApp Communications: If you provide a phone number, you consent to receive order updates, support messages, and promotional content via SMS or WhatsApp. Standard message rates may apply.
12. INTELLECTUAL PROPERTY
12.1. Ownership: All content on the DigiSales platform, including logos, trademarks, designs, and text, is owned by LEVELUP ENTERPRISES INC. or licensed to us.
12.2. Vendor Trademarks: All product names, logos, and trademarks are property of their respective Vendors. We are an authorized reseller but not affiliated with or endorsed by Vendors unless explicitly stated.
12.3. Limited License: You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal purposes only.
13. TERMINATION
We may terminate or suspend your account and access to Services immediately, without notice, for:
- Violation of these Terms
- Suspected fraud or abuse
- Excessive chargebacks or refund requests
- Any conduct that harms or could harm our business or reputation
14. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of Services after changes constitutes acceptance of the modified Terms.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1. Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
15.2. Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the courts of Ontario, Canada for any disputes arising from these Terms or your use of Services.
15.3. Dispute Resolution: Before initiating legal action, you agree to attempt to resolve disputes through good-faith negotiation with our customer support team.
16. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. ENTIRE AGREEMENT
These Terms, together with our Refund Policy and Terms of Service, constitute the entire agreement between you and LEVELUP ENTERPRISES INC. regarding your use of DigiSales Services.
